1. Introduction

These Reseller Terms of Use ("Reseller Terms") are additional terms that apply specifically to retailers, e-commerce businesses, and resellers ("Resellers") using the Retailyft platform. These terms supplement our General Terms of Use.

By registering as a retailer on our platform, you agree to be bound by both these Reseller Terms and our General Terms of Use.

2. Reseller Eligibility and Verification

2.1 Eligibility Requirements

To become a retailer on Retailyft, you must meet the following requirements:

  • Be at least 18 years of age
  • Have a valid bank account for payments
  • Demonstrate ability to serve end customers
  • Provide valid identification documents
  • Have a working email address and phone number

Business Registration Not Required

You can start as an individual dropshipper. Business registration (CAC) and tax ID (TIN) are only required for higher transaction volumes or specific business features.

2.2 Verification Process

We will verify your credentials through:

  • Identity verification (government-issued ID)
  • Bank account verification
  • Email and phone number verification
  • Address verification (for shipping purposes)

Note: Business registration documents (CAC, TIN) are only required for:

  • High-volume retailers (transactions above ₦1,000,000 monthly)
  • Resellers requesting business features (invoicing, tax reporting)
  • Resellers operating as registered business entities

3. Platform Services and Features

3.1 Available Services

As a retailer, you have access to:

  • Product sourcing from verified suppliers
  • Order management and tracking systems
  • Payment processing and collection
  • Logistics and fulfillment services
  • Business analytics and reporting tools
  • Customer relationship management features
  • Marketing and promotional tools

3.2 Service Levels

We offer different service levels based on your business needs:

  • Basic: Essential dropshipping services
  • Professional: Advanced features and priority support
  • Enterprise: Custom solutions and dedicated support

4. Order Management and Processing

4.1 Order Placement

When placing orders through our platform, you agree to:

  • Verify product availability before confirming orders
  • Ensure sufficient funds for order payment
  • Comply with minimum order requirements

4.2 Order Fulfillment

We will handle order fulfillment on your behalf, including:

  • Small processing fee (₦300 minimum per transaction)

5.2 Payment Settlement

Payment settlement terms:

  • Net 7 settlement for verified retailers
  • Automatic settlement upon order completion
  • Transparent fee structure and reporting
  • Dispute resolution process for payment issues

All payments are processed through secure, PCI-compliant systems.

6. Customer Service and Support

We provide customer support services including:

Individual Dropshippers

As an individual, you are responsible for your own tax obligations. We recommend consulting with a tax professional to understand your specific requirements.

For Individual Dropshippers:

  • Personal income tax on profits
  • Maintaining records of income and expenses
  • Filing personal tax returns as required by law

For Registered Businesses:

  • Corporate tax obligations
  • VAT registration and compliance (if applicable)
  • Business tax returns and reporting
  • Employee tax obligations (if applicable)

12. Termination of Reseller Agreement

12.1 Termination by Retailyft

We may terminate your retailer account for:

  • Violation of these terms or our policies
  • Fraudulent or illegal activities
  • Non-payment of fees or charges
  • Poor customer service or satisfaction

12.2 Termination by Reseller

You may terminate your retailer account with 30 days written notice. You must fulfill all pending orders and settle all outstanding payments before termination.
