By accessing or using our platform, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our service.

By creating an account, accessing our platform, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

3. Platform Description

Retailyft is a B2B social commerce dropshipping platform that connects retailers with suppliers, enabling:

• Product sourcing from verified suppliers
• Order fulfillment and logistics management
• Payment processing and financial services
• Business analytics and reporting tools
• Customer relationship management

4. User Accounts

4.1 Account Creation

To use our platform, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials. Business registration is not required for individual dropshippers.

4.2 Account Types

We offer different account types for different user categories:

• Reseller Accounts: For individuals and businesses selling products to end consumers (dropshipping)
• Supplier Accounts: For manufacturers and wholesalers providing products
• Influencer Accounts: For influencers promoting products
• Partner Accounts: For logistics and service providers

4.3 Account Verification

We reserve the right to verify the identity and credentials of all users. For individual dropshippers, this includes identity verification and bank account verification. For registered businesses, this may include business registration documents, tax identification numbers, and other relevant documentation.

5. Platform Rules and Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Violating any applicable laws or regulations
• Infringing on intellectual property rights
• Providing false, misleading, or fraudulent information
• Attempting to gain unauthorized access to our systems
• Interfering with the proper functioning of the platform
• Engaging in any form of harassment or abuse
• Circumventing our fees or payment systems
• Using the platform for illegal or unauthorized purposes

6. Fees and Payments

6.1 Platform Fees

We may charge fees for various services, including but not limited to:

• Transaction fees on orders processed through our platform
• Subscription fees for premium features
• Logistics and fulfillment fees
• Payment processing fees (₦300 minimum per transaction)

6.2 Payment Terms

All fees are due as specified in your service agreement. We reserve the right to suspend services for non-payment of fees.

7. Intellectual Property

The Retailyft platform, including its design, functionality, and content, is protected by intellectual property laws. You may not copy, modify, or distribute our platform without written permission.

You retain ownership of your content and data, but grant us a license to use, display, and distribute such content as necessary to provide our services.

8. Privacy and Data Protection

We are committed to protecting your privacy and personal data in accordance with applicable data protection laws and our Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by law, Retailyft shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability to you for any claims arising from these Terms or your use of our platform shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

We may terminate or suspend your account at any time, with or without notice, for any reason, including violation of these Terms.

You may terminate your account at any time by contacting our support team. Upon termination, your right to use the platform will cease immediately.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any disputes arising from these Terms or your use of our platform shall be resolved through binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act of Nigeria.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through our platform.
