1. Introduction
These Supplier Terms of Use ("Supplier Terms") are additional terms that apply specifically to suppliers, manufacturers, and wholesalers ("Suppliers") using the Retailyft platform. These terms supplement our General Terms of Use.
By registering as a supplier on our platform, you agree to be bound by both these Supplier Terms and our General Terms of Use.
2. Supplier Eligibility and Verification
2.1 Eligibility Requirements
To become a supplier on Retailyft, you must meet the following requirements:
- Be a legally registered business entity in Nigeria
- Have a valid business registration certificate (CAC)
- Possess a valid tax identification number (TIN)
- Have a physical business address in Nigeria
- Demonstrate ability to fulfill orders consistently
- Meet our quality standards and requirements
2.2 Verification Process
We will verify your business credentials through:
- Document verification (CAC, TIN, bank statements)
- Site visits to your business premises
- Product quality assessments
- Financial capability evaluation
- Reference checks from existing customers
3. Product Listing Requirements
3.1 Product Information
All products listed on our platform must include:
- Accurate product descriptions and specifications
- High-quality product images (minimum 3 images per product)
- Correct pricing information
- Stock availability status
- Shipping and delivery information
- Product categories and tags
3.2 Product Quality Standards
All products must meet our quality standards:
- Products must be genuine and not counterfeit
- Products must comply with Nigerian safety standards
- Products must be properly packaged and labeled
- Products must match their descriptions and images
- Products must be in good working condition
Quality Assurance
We conduct regular quality audits to ensure all products meet our standards.
4. Pricing and Payment Terms
4.1 Pricing Requirements
As a supplier, you agree to:
- Provide competitive wholesale pricing
- Maintain consistent pricing for at least 30 days
- Notify us of any price changes with 7 days advance notice
- Include all applicable taxes in your pricing
- Provide volume discounts where applicable
4.2 Payment Terms
Payment terms for suppliers:
- Net 15 payment terms for verified suppliers
- Payment processing through our secure platform
- Automatic payment upon order fulfillment confirmation
- Dispute resolution process for payment issues
5. Order Fulfillment and Logistics
5.1 Order Processing
You agree to:
- Process orders within 24 hours of receipt
- Update order status in real-time on our platform
- Provide accurate shipping information
- Ensure products are properly packaged for shipping
- Meet delivery timeframes as specified
5.2 Inventory Management
You must:
- Maintain accurate inventory levels on our platform
- Update stock levels in real-time
- Notify us immediately of any stock shortages
- Maintain minimum stock levels as agreed
6. Performance Standards and Metrics
6.1 Key Performance Indicators
We monitor supplier performance based on:
- Order fulfillment rate (minimum 95%)
- On-time delivery rate (minimum 90%)
- Product quality ratings (minimum 4.0/5.0)
- Customer satisfaction scores
- Response time to inquiries (maximum 4 hours)
6.2 Performance Improvement
If your performance falls below our standards, we will:
- Provide performance improvement recommendations
- Offer training and support resources
- Implement corrective action plans
- Monitor progress and provide feedback
7. Supplier Fees and Commissions
7.1 Platform Fees
As a supplier, you may be subject to the following fees:
- Transaction fees on orders processed through our platform
- Listing fees for premium product placement
- Marketing and promotion fees
- Payment processing fees (₦300 minimum per transaction)
7.2 Fee Structure
Our fee structure is designed to be competitive and transparent. Specific fees will be outlined in your supplier agreement.
8. Intellectual Property and Brand Protection
8.1 Your Intellectual Property
You retain ownership of your intellectual property, including:
- Product designs and specifications
- Brand names and trademarks
- Product images and descriptions
- Manufacturing processes and trade secrets
8.2 License to Retailyft
By listing products on our platform, you grant us a non-exclusive license to:
- Display your products on our platform
- Use your product images and descriptions for marketing
- Process orders and facilitate transactions
- Provide customer support related to your products
9. Compliance and Legal Requirements
9.1 Regulatory Compliance
You must comply with all applicable Nigerian laws and regulations, including:
- Consumer protection laws
- Product safety standards
- Tax and customs regulations
- Environmental regulations
- Labor and employment laws
9.2 Product Liability
You are responsible for ensuring your products are safe and comply with all applicable standards. You agree to indemnify Retailyft against any claims arising from product defects or safety issues.
10. Termination of Supplier Agreement
10.1 Termination by Retailyft
We may terminate your supplier account for:
- Violation of these terms or our policies
- Poor performance or quality issues
- Fraudulent or illegal activities
- Failure to meet minimum performance standards
10.2 Termination by Supplier
You may terminate your supplier account with 30 days written notice. You must fulfill all pending orders before termination.
11. Dispute Resolution
Any disputes between suppliers and Retailyft will be resolved through:
- Initial discussion and negotiation
- Mediation if direct resolution fails
- Binding arbitration in Lagos, Nigeria
